Planet 13 Holdings Inc. - Warrants

Planet 13 Holdings Inc. - Dec 4/2021 Warrants: Each Warrant shall entitle the holder thereof, upon exercise at any time after the Issue Date and prior to the Expiry Time, to acquire one Common Share at a Price of $3.75.

Under the terms of the Warrants, Planet 13 is permitted to accelerate the expiry date of the Warrants if the daily volume weighted average closing price of the Common Shares on the Canadian Securities Exchange is equal to or greater than CDN$5.00 for any 20 consecutive trading day period (the "Acceleration Trigger"). Planet 13 confirmed that an Acceleration Trigger occurred as of December 18, 2020. Accordingly, Planet 13 has chosen to accelerate the expiry time of the Warrants to 5:00 p.m. (Toronto time) on January 28, 2021 (the "Accelerated Expiry").
